General Counsel

We are seeking an experienced and highly skilled General Counsel to join our organization.

As the General Counsel, you will be responsible for overseeing all legal affairs and providing strategic guidance to ensure legal compliance and mitigate risk in a global context. Your role will involve leading a team of legal professionals and collaborating with various departments to support business objectives while upholding ethical standards.

The ideal candidate will have a strong background in law, excellent leadership abilities, and a proven track record of success in managing legal operations.

Your role and responsibilities

1. Legal Strategy:

• Develop and implement TVH  legal strategy to align with strategic goals.
• Provide expert advice on legal matters, including contracts, regulatory compliance, M&A, intellectual property, employment law, and corporate governance.
• Ensure compliance with applicable laws and regulations and monitor changes in the legal landscape to anticipate potential impacts on the organization.
• Report periodically on legal matters to TVH audit committee and Board of Directors.

2. Contract Negotiation and review:

• Oversee the drafting, negotiation, and review of a wide range of contracts, including M&A, corporate restructuring, commercial, IP and other legal agreements, and legal documents and this in a global scope.
• Collaborate with internal stakeholders to ensure contracts align with business objectives while safeguarding the organization's interests.
• Advise on contract interpretation, dispute resolution, and contract-related issues.
• Oversee all legal activities related to the ~100 legal entities of the group in over 30 jurisdiction.

3. Team Leadership and Development:

• Manage and mentor a team of 5-10 legal professionals, providing guidance, training, and support.
• Foster a collaborative and high-performing legal department, promoting professional growth and development.
• Allocate resources effectively, manage workloads, and prioritize projects to meet deadlines.

4. External Relationships:

• Build and maintain strong relationships with external legal counsel, regulatory bodies, and other relevant stakeholders.
• Represent the organization in legal proceedings, negotiations, and meetings with external parties.
• Stay informed about industry best practices and legal developments through networking, conferences, and continuing education.

The General Counsel will report to the CFO of TVH (member of the Global Management Team).

How to succeed / Your profile

• Master of Laws or equivalent degree from an accredited law school.
• Active license to practice law in the relevant jurisdiction.
• Minimum of 10 years of experience in a legal leadership role, preferably in a corporate or commercial setting.
• In-depth knowledge of corporate law, contract law, regulatory compliance, and other relevant areas of law.
• Proven track record in successfully managing legal operations, including contract negotiation and risk management.
• Strong leadership, organizational, and decision-making skills.
• Excellent communication and interpersonal abilities, with the capacity to build relationships and influence stakeholders at all levels.
• Demonstrated ability to work in a fast-paced environment, manage multiple priorities, and meet deadlines.
• Language skills: Dutch and English, Fluent speaking and writing.
